From Mozilla Mail & Newsgroups? The main one is Thunderbird does customisable toolbars. And it should always use your default browser for links to HTTP stuff. And, of course, there's no Navigator, Composer, ChatZilla etc.

Check out the Roadmap. Which will explain where the entire Mozilla project is going, and what the differences will be and what the similarities will be.
Thunderbird will work towards being like Phoenix, in the sense that it will become streamlined and customizable and the entire GUI stuff will be done in XUL. In the end the codebase that they share will truely be shared in order to lower memory consumption and to speed both of them up. They will also become more tightly integrated. Currently they are not integrated at all, as they both deviated from Mozilla, but they will converge again
