Problem is two fold
1. everytime I look at stus line (bottom right) it indicates more mesages 4906 - in reality there may be 300
2. On each start up - no messages are visible and it takes 5-8 min to "rebuild" to read any e-mails
what gives?

Compact your folder now and regularly in the future. See this: http://kb.mozillazine.org/Compacting_folders
If just compacting doesn't fix it you may need to delete the .msf files as well. That is also explained in that link.
You should not keep any mail in your local "InBox" or "Sent" Folder. You need to sort your mail. This can be done automatically by using "Message Filters", or just drag the mail to a new folder after reading. Your "InBox" is not the place to store mail. It only takes (1) corrupted eMail to mess up any program from reading the mail. The more mail you have in that folder the higher the chances that this will happen. Deleted emails count as files in that folder (they are not really deleted). What you should do is make a new folder (something like "ReadInBox") that you can keep most of your read emails in. Use your InBox for New incomming mail only. After moving or deleting a large amount of files it is always a good idea to Compact the existing folder.
